The XRelay Technologies Terms of Business

Clear and transparent terms designed to protect both our clients and our company. Please review them carefully before engaging our services.

Section 1 - Introduction

1.1 These Terms of Business (“Terms”) govern all sales, installations, and services provided by XRelay Technologies, part of the X-01 Group of Companies (“the Company”).

1.2 By purchasing, installing, or otherwise using the Company’s products or services, the client (“the Client”) agrees to be bound by these Terms.

1.3 The Company may update these Terms from time to time. The most current version will always be available at xrelay.co.uk/support/terms.


Section 2 - Definitions

2.1 “Company” means XRelay Technologies, operating under the X-01 Group of Companies.

2.2 “Client” means the purchaser, end-user, or contracting party receiving goods or services.

2.3 “Products” means any hardware, software, or security equipment supplied by the Company.

2.4 “Services” means any installation, consultation, support, or maintenance provided by the Company.


Section 3 - Services Provided

3.1 The Company provides modular security, access control, connectivity, and storage solutions, including the SENTINEL, ACCESS, CONNECT, and STORE product ranges.

3.2 All installations are carried out by authorised XRelay installers. Clients may verify installer identification at xrelay.co.uk/verify.

3.3 Services are delivered in accordance with professional industry standards and in line with these Terms.


Section 4 - Installation and Access

4.1 The Client shall provide the Company with reasonable access to premises, facilities, and resources required to complete installation or service.

4.2 The Company shall take reasonable care to avoid damage to the Client’s property. Where no-drill or no-damage options are requested, these shall be adhered to where possible.

4.3 The Client shall ensure the working environment is safe and compliant with health and safety obligations.


Section 5 - Pricing and Payment

5.1 All pricing is provided on a quotation basis, subject to consultation and specific requirements.

5.2 The Company operates a Fair Pricing Policy to ensure transparency and consistency across all Clients.

5.3 Payment terms shall be as stated in the quotation or invoice. Unless otherwise agreed, payment is due within 14 days of invoice date.

5.4 Deposits may be required prior to installation or service delivery.

5.5 The Company reserves the right to charge interest on overdue sums in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.


Section 6 - Warranty and Maintenance

6.1 Products supplied by the Company are covered by a manufacturer’s warranty of [insert period, e.g. 12 months] from the date of installation, unless otherwise stated.

6.2 The warranty does not cover damage caused by misuse, neglect, third-party interference, or unauthorised modifications.

6.3 The Company shall provide periodic reviews (e.g. quarterly system reviews) where included as part of the agreed service.

6.4 Maintenance or repairs outside warranty coverage may be chargeable.


Section 7 - Liability

7.1 The Company shall not be liable for indirect, incidental, or consequential losses arising from the use of its Products or Services.

7.2 Nothing in these Terms excludes liability for death or personal injury resulting from the Company’s negligence.

7.3 The Company is not responsible for third-party service failures (e.g. internet provider outages, cellular network downtime).

7.4 The Client acknowledges that the Company’s SENTINEL, ACCESS, CONNECT, and STORE systems are designed to reduce risk, improve security, provide connectivity, and safeguard data, but they cannot guarantee absolute prevention of crime, unauthorised access, service downtime, or data loss. Accordingly, the Company accepts no liability for burglary, criminal acts, network interruptions, or data compromise that occurs despite the use of its systems.


Section 8 - Client and Data Privacy

8.1 The Company shall process Client data in compliance with the UK General Data Protection Regulation (GDPR) and the Data Protection Act 2018.

8.2 Details of the Company’s data practices are set out in the GDPR Compliance Document and the Privacy Policy, both available at xrelay.co.uk/support.

8.3 The Client retains full ownership of all data collected through Company-installed systems, subject to any legal obligations.


Section 9 - Termination

9.1 Either party may terminate a contract with 30 days’ written notice, unless otherwise agreed.

9.2 The Company may terminate immediately where the Client fails to pay sums due, breaches these Terms, or acts unlawfully.

9.3 Upon termination, all outstanding payments shall become immediately due.


Section 10 - Governing Law

10.1 These Terms are governed by the laws of England and Wales.

10.2 Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.1 XRelay Technologies, the XRelay “Radar” Style Logo, the “SACS” Logos, the product page icons, and all other marks are trademarks and property of XRelay Technologies, which operates under the X-01 Group of Companies.

12.2 All content, documents, and materials provided on this website are the property of the Company and may not be reproduced, distributed, or used without prior written consent.
